Nedbank Group has officially finalized its acquisition of a 66% controlling stake in NCBA Group, opening up a direct, integrated financial highway between Southern and East Africa. For Ugandan import and export firms, this blockbuster corporate takeover drastically alters the regional trade landscape by bridging the Southern African Development Community (SADC) with the East African Community (EAC).
The transaction transforms NCBA into a primary subsidiary of Nedbank while allowing the lender to maintain its public listing on the Nairobi Securities Exchange (NSE).
By plugging Nedbank’s multi-billion-dollar Southern African framework into NCBA’s expansive network—which spans Kenya, Uganda, Tanzania, Rwanda, and Ivory Coast—the merger creates a unified banking corridor serving more than 60 million customers.
While local branch networks, branding, and daily banking operations in Kampala will remain unchanged, the integration of these two corporate balance sheets injects new capabilities specifically built for cross-border commerce
Ugandan businesses importing goods from South Africa (or exporting regionally) will benefit from single-gateway clearing and faster intra-continental financial settlements.
Local firms frequently face capital ceilings. Backed by Nedbank’s massive institutional balance sheet, NCBA Uganda can now underwrite significantly larger trade finance lines, letters of credit, and syndicated loans.
The direct corridor allows for more sophisticated treasury management and better structured FX hedging instruments, shielding Ugandan traders from sudden currency fluctuations.
Hajji Issa Sekitto serves as the Acting Chairman of the Kampala City Traders Association (KACITA) in Uganda says Importers of industrial machinery, manufacturing hardware, or vehicle fleets from Southern African hubs gain a direct path to specialized corporate asset financing.
“This landmark transaction establishes a significant presence for Nedbank in East Africa and marks a decisive step forward in our African growth strategy,” said Jason Quinn, Chief Executive Officer of Nedbank. He emphasized that linking the two regional banking platforms is specifically designed to clear friction points hindering trade and investment across the continent.
Addressing local business clients, John Gachora, Chief Executive Officer of NCBA, stressed that local operational stability is guaranteed, but backed by vastly superior capabilities: “The name is the same, the people are the same, but the ambition and capabilities are tremendously magnified.”
The takeover saw immense institutional backing, with NCBA shareholders tendering 1.316 billion shares (79.9% of the lender’s total issued stock). This significantly over-subscribed Nedbank’s original 66% targeted acquisition, forcing a proportional scale-back to hit the final intended holding level.
As African corporate markets increasingly demands unified, frictionless cross-border trade frameworks, the Nedbank takeover hands Ugandan companies a powerful tool to aggressively scale their regional distribution and secure supply chains across Sub-Saharan Africa.
